1. Valad Plus® Investment Advisors (VPIA®): VPIA® is an investment advisory firm established in 2005 with headquarters in Plano, Texas. VPIA® is currently open to new Clients, subject to specific criteria set forth below. VPIA® is a DBA for the investment advising business of it three principals: David Evaul, Richard Adkisson, and Steve Celuch.

2. Diversity of Background | Simple Solutions to Complex Problems: The VPIA®’s Principals hail from diverse fields such as Manufacturing, Retail, Real Estate, Sports, Taxes, Insurance, IT, and Law as well as several successful entrepreneurial enterprises. This wide array of experiences contributes to the unique investment strategies and decision-making processes of VPIA®. The Founders' shared history of finding Simple Solutions to Complex Problems forms the foundation of their investment strategy - SURIS® (Simple Understandable Risk and Investment Strategy).

3. Beginning of SURIS®: Co-Founder Mr. Evaul's personal need for an Investment strategy to apply to Liquid investments (Liquid Asset Investments). led to the creation of SURIS®. This straightforward, effective approach was refined over time and aims to enhance Returns while minimizing Risk. The methodology draws from the Founders' track records of success over their various careers in applying Simple Solutions to Complex Problems.

4. VPIA®: In 2005, Mr. Evaul and Mr. Adkisson established VPIA®, affiliated with Crescent Advisor Group, Inc. By 2022, the VPIA® grew to manage over $100 million in assets. Recognizing the need for growth, a third principal, Mr. Celuch, was brought on board in 2023.

5. Why VPIA®: • SURIS®: All three Principals are committed to applying the SURIS® approach, founded on their history to finding Simple Solutions to Complex Investment Problems. • Frequent Portfolio Reviews: The Principals frequently review (on average, more than once a week) each Client Account managed by VPIA®. • Diverse Backgrounds: The diverse professional and business backgrounds of the Principals enhance the VPIA®’s Investment Strategies and Advice, differentiating it from traditional investment advisors. • Experience as Entrepreneurs: Principals' firsthand experience as Entrepreneurs is a valuable asset when advising Clients on Liquid Asset Investments. • Family Offices, Private Foundations, and other Charitable Institutions: VPIA®'s understanding of Family Wealth Planning, Private Foundations, and other Charitable Organizations enables VPIA® to provide unique value to Family Offices, Private Foundations, and Other Charitable Organizations.

6. The VPIA® Team: In addition to the three principals, VPIA™ benefits from administrative assistance from the experienced professionals Russel Travis, Michelle Vargas, and Michelle Phelan and from portfolio input from Mr. Travis.

7. Charles Schwab& Co., Inc.: VPIA® utilizes Charles Schwab & Co., Inc. as its custodian for Client Accounts. Clients have real-time access to their Accounts, with VPIA® account access limited to trading discretion, asset allocation, and fee collection.

8. Client Criteria: VPIA® considers new Clients. Private accounts in general have minimums of $300,000 for accounts that will be added to regularly and $500,000 for Accounts that are not being added to regularly. Family Offices, Private Foundations, and other Charitable Institutions have a minimum of $25 million.
